1. Premises and Station Description
Owner agrees to rent to Renter one (1) designated booth / station / chair described as:

The premises are located within Owner's licensed cosmetology establishment at the address above (the "Salon").
Renter may use the assigned station for the practice of cosmetology, barbering, aesthetics, nail technology, or related services within the scope of Renter's current Delaware license issued by the Delaware Board of Cosmetology and Barbering. Renter has inspected the station and accepts it in its present condition.
2. Term
The initial term of this Agreement begins [[Start Date]] and continues on a [[month-to-month / fixed term of X months]] basis (the "Term"). Either party may terminate as provided in Section 11. Upon expiration of any fixed term, this Agreement automatically converts to month-to-month unless a new written agreement is signed.
3. Rent and Payment Terms

4. Independent Contractor Status (Critical)
Renter is and shall remain an independent contractor and not an employee, partner, joint venturer, or agent of Owner. This Agreement does not create an employment relationship under Delaware or federal law.
Renter has the right to:
- Set Renter's own hours of operation (subject to the Salon's posted business hours and any reasonable common-area rules)
- Determine Renter's own service prices (within professional standards and required disclosures)
- Choose which clients to serve
- Select techniques, products, and methods (subject to Delaware Board rules and any shared product policy)
- Engage assistants or subcontractors only with Owner's prior written consent and at Renter's sole cost and liability
Renter is solely responsible for:
- All federal, state (Delaware), and local taxes including self-employment taxes and estimated payments
- Obtaining and maintaining Renter's own professional liability insurance
- Any required local business licenses or permits for independent operation
- Providing Renter's own primary tools, equipment, and supplies not expressly included
Owner shall not control the manner, means, or details of how Renter performs services. Owner provides the leased space and common facilities only.
5. Licenses, Insurance, and Compliance with Delaware Law
Renter represents and warrants that Renter holds a current, valid license issued by the Delaware Board of Cosmetology and Barbering in the appropriate classification(s) and will maintain it in good standing throughout the Term. License types include cosmetologist, barber, aesthetician, nail technician, and instructor.
License Posting and Display (Delaware): Per Delaware Board requirements and state law, the Salon shop permit and each individual practitioner's license must be conspicuously posted and visible to clients and inspectors. Renter shall post Renter's current personal license at or near the workstation at all times services are offered.
Renter shall maintain professional liability (malpractice) insurance with minimum coverage of $[[1,000,000 per occurrence / $2,000,000 aggregate]] or such higher amount as required by law or prudent practice. Renter shall provide Owner a certificate of insurance upon request.
Renter shall comply with all Delaware statutes (including Title 24, Chapter 51), Delaware Board of Cosmetology and Barbering rules and regulations, sanitation and disinfection standards, scope of practice, and any local health department requirements. Owner maintains the establishment (shop) permit and is responsible for common areas and overall Salon compliance. Renter is responsible for compliance at the assigned station.
Note on Shop Permits for Booth Renters: If Renter operates under a separate business name or brand in a distinct suite and holds themselves out as an independent salon, Delaware Board requirements may necessitate a separate shop permit. Renter is responsible for confirming this with the Board before operating under a separate name.
6. Use of Premises, Common Areas, Utilities, and Sanitation
Renter may use the assigned station and reasonable access to common areas (reception, restrooms, dispensary, break area) during Salon business hours.

Renter shall:
- Keep the station clean, sanitary, and professional at all times

7. Product, Supplies, and Client Record Ownership
Products and Supplies: Renter may use Owner's retail and professional products only as agreed in writing and on the terms set forth (e.g., consignment, wholesale purchase, or commission). Renter may bring and use Renter's own professional products and retail lines. Client purchases of Renter-branded or personally supplied products belong to the transaction between Renter and client.
Client Records and Ownership: All client records, contact information, and service history generated at the station during the Term are the property of Renter. Upon termination, Owner shall provide Renter reasonable access to copy records pertaining to Renter's clients. Renter shall not solicit Owner's other clients or employees during or immediately after the Term except as permitted by law.
8. Common Area Rules, Hours, and Conduct
Renter agrees to abide by reasonable Salon house rules (Exhibit A) regarding hours, music volume, shared equipment, cleanliness, client flow, and professional conduct. Owner may update house rules with reasonable notice.
The Salon maintains posted business hours of [[e.g., Tuesday-Saturday 9:00 AM - 7:00 PM]]. Renter may operate within those hours or as otherwise mutually agreed.
9. Maintenance and Repairs
Owner shall maintain the structural elements, plumbing, electrical, HVAC, and common areas in good repair. Renter shall promptly report needed repairs and shall be responsible for damage to the station or common areas caused by Renter's negligence or misuse.
10. Insurance and Liability
Owner maintains property and general liability insurance for the Salon premises. Renter's personal property, tools, and business activities are not covered by Owner's policies.
Renter shall indemnify and hold Owner harmless from claims arising from Renter's services, products, or acts, except to the extent caused by Owner's negligence.
11. Termination
Either party may terminate this Agreement:
- Without cause upon [[30]] days' written notice
- Immediately for material breach (including loss of license, failure to maintain insurance, violation of Board rules, non-payment of rent after notice, or conduct that harms the Salon or clients)
Upon termination, Renter shall remove all personal property, return keys and access devices, settle any outstanding rent or product charges, and leave the station clean and in good condition (ordinary wear excepted).
12. Governing Law and Disputes
This Agreement is governed by the laws of the State of Delaware. Any disputes shall first be attempted to be resolved through good-faith discussion; if unresolved, the parties agree to mediation before litigation in the courts of [[County, Delaware]].
13. Severability and Entire Agreement
If any provision is held invalid or unenforceable, the remainder remains in effect. This Agreement, including any exhibits, constitutes the entire agreement and supersedes prior discussions. Amendments must be in writing and signed by both parties.
